These Terms of Service (the "Terms") are a legally binding agreement between Shop on Maps LLC, a Florida limited liability company ("Shop on Maps," "we," "us," or "our"), and the business that purchases or uses the Services ("Client," "you," or "your"). By paying for the Services, creating a subscription, clicking to agree, or otherwise indicating acceptance, you agree to these Terms. If you do not agree, do not purchase or use the Services.

1. Who These Terms Cover

The Services are offered to independent United States HVAC and plumbing shops on a business-to-business basis. You represent that you are entering this agreement on behalf of a lawful HVAC or plumbing business and that you have authority to bind that business. These Terms do not create a consumer contract.

The contracting party is Shop on Maps LLC. Our principal office is 1081 Egret Circle N, Jupiter, FL 33458. Notices and support may be sent to hello@shoponmaps.com.

These Terms also govern use of https://shoponmaps.com (the "Site"). Example shops, listings, reviews, and posts on the Site are fictional illustrations, not case studies or results you should expect. All Site content (other than material a Client provides) is owned by Shop on Maps LLC. You may not copy, scrape, crawl, or republish the Site except as we expressly allow.

2. The Services

Subject to these Terms and to Client granting the access described in Section 3, Shop on Maps will provide the following services (the "Services"):

(a) Weekly Google Business Profile post. We will use commercially reasonable efforts to publish one Google Business Profile post per calendar week after Manager access is granted. We do not promise a specific weekday unless we choose one internally. The first post will be published within forty-eight (48) hours after we receive Manager access, not within forty-eight hours of payment.

(b) Review replies. We will use commercially reasonable efforts to reply to every Google review of the listing within twenty-four (24) hours after the review appears to a Manager account, or within twenty-four (24) hours after Manager access is granted, whichever is later. Delays caused by Google, missing or incomplete access, Client instructions, or Client-imposed restrictions are not a breach.

(c) Monthly one-pager. Each month we will provide a one-page report covering views, calls, direction requests, the last four posts, and reply rate, based on data available to a Manager account.

Not included. The Services do not include Map Pack ranking, search-engine optimization, paid advertising, website design or hosting, phone answering, HVAC work, buying or incentivizing reviews, or collection of Google or other passwords. Listing completeness (hours, categories, photos, attributes, and similar profile fields) is onboarding operations, not a promised service or SLA. Marketing copy about keeping a listing complete or current, or about Google AI answers, is supporting explanation only and is not a contractual deliverable. We do not promise ranking, visibility, leads, calls, revenue, Google AI Overviews, ChatGPT or other AI-answer inclusion, citations, or that any AI system will read, feature, or recommend the shop.

If Client never grants Manager access, we do not deliver the Services, and all fees remain earned and nonrefundable as provided in Section 6.

3. Google Business Profile Access

Client will invite Shop on Maps as a Google Business Profile Manager at hello@shoponmaps.com. Client remains Primary Owner of the listing. We will never ask for Client's Google password, and Client must not send us a Google password.

Delivery of the Services depends on that Manager access. Time periods in Section 2 start when Manager access is actually available to us, not when payment is made. If access is not granted, is revoked, is incomplete, or is later limited so that we cannot post or reply, we have no obligation to deliver, and fees already paid stay earned.

On cancellation or termination, we will stop posting the same day and will remove our Manager access.

4. Content

We write posts from trade, season, and town. Client may send photos and a do-not-post list. We may use AI-assisted drafts; a human reviews drafts before they are published.

Client warrants that every photo, offer, hour, claim, and other material Client provides is true, lawful, and something Client has the right to use and to have us publish. Client is responsible for the accuracy of posted offers, hours, and claims about Client's business. We do not buy reviews, incentivize reviews, or ask anyone to post a review in exchange for value.

Client grants Shop on Maps a non-exclusive, royalty-free license to use Client-provided materials solely to perform the Services.

5. Fees and Billing

Founding price. The first twenty (20) shops to subscribe pay Forty-Nine Dollars ($49.00) per month. That founding price stays locked for that shop for as long as the shop remains continuously subscribed. After the first twenty shops, the price is Seventy-Nine Dollars ($79.00) per month.

There is no setup fee and no annual contract. Subscriptions auto-renew monthly through Stripe until cancelled.

Client authorizes Shop on Maps and Stripe to charge the payment method on file for the then-current monthly fee at each renewal.

6. Cancellation; No Refunds

Client may cancel anytime through the Stripe Customer Portal or by emailing hello@shoponmaps.com. Cancellation stops future renewals. Cancellation does not entitle Client to a refund or a prorated credit of the current paid period. "Cancel anytime" means we will not charge you for later months after cancellation takes effect. It does not mean a refund of the month already paid.

On cancellation we will stop posting the same day and remove Manager access.

NO REFUNDS. ALL FEES ARE EARNED IN FULL UPON PAYMENT AND ARE NONREFUNDABLE. THERE IS NO PRORATA REFUND, CREDIT, OR CHARGEBACK RIGHT FOR THE CURRENT PERIOD, INCLUDING IF CLIENT NEVER GRANTS MANAGER ACCESS, IF GOOGLE IS UNAVAILABLE, IF THE LISTING IS SUSPENDED OR RESTRICTED, IF CLIENT DISLIKES THE RESULTS, OR IF CLIENT STOPS USING THE SERVICES BEFORE THE END OF THE PAID PERIOD.

7. Chargebacks

Client agrees that charges Client authorizes, including recurring monthly subscription charges, are valid charges for the Services. Client will not initiate a chargeback, payment dispute, or reversal because Client is dissatisfied with results, because Client did not grant or later revoked Manager access, or because Client did not use the Services during a paid period. Before disputing a charge with a card issuer or bank, Client will first contact hello@shoponmaps.com. A chargeback in breach of this Section is a material breach. Shop on Maps may contest the chargeback and recover the disputed amount plus any fees and reasonable costs of recovery.

8. Client Representations

Client represents and warrants that:

(a) Client operates a lawful HVAC business in the United States;

(b) Client has authority to bind that business to these Terms;

(c) Client is and will remain Primary Owner of the Google Business Profile listing, or otherwise has authority to grant Manager access;

(d) photos, offers, hours, claims, and other materials Client provides are accurate and that Client has all rights needed for us to publish them; and

(e) Client will not instruct us to buy reviews, post false claims, violate Google's terms, or break the law.

9. Independent Contractor

Shop on Maps is an independent contractor. Nothing in these Terms makes Shop on Maps Client's HVAC company, partner, joint venturer, employee, agent, or fiduciary. We do not perform HVAC work, answer Client's phones, or act as Client's lawyer, accountant, or marketing fiduciary. We have no authority to bind Client except as needed to post and reply on the listing as described in these Terms.

10. Third-Party Platforms

Google and Stripe are independent third parties. We do not control Google Business Profile, Google Maps, Google's review systems, ranking, visibility, suspension decisions, or uptime. We do not control Stripe's payment processing. Changes, outages, policy enforcement, or account actions by Google or Stripe are not a breach by Shop on Maps and do not entitle Client to a refund.

11. Suspension and Termination

We may suspend or terminate the Services immediately if Client fails to pay, abuses the Services, instructs us to do something illegal or that we reasonably believe would violate Google's terms, or otherwise materially breaches these Terms. Termination for cause does not entitle Client to a refund. Sections that by their nature should survive (including fees already earned, no-refund, chargebacks, disclaimers, release, indemnity, limitation of liability, and dispute provisions) survive termination.

12. Modifications

We may update these Terms by posting the revised Terms on https://shoponmaps.com. Material changes take effect fourteen (14) days after posting or on Client's next renewal, whichever is later, except that changes required by law may take effect when posted. Continued payment or use after the effective date of a change constitutes acceptance.

13. DISCLAIMERS

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SHOP ON MAPS LLC MAKES NO WARRANTY, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

SHOP ON MAPS LLC DOES NOT WARRANT, PROMISE, OR GUARANTEE ANY GOOGLE RANKING, MAP PACK POSITION, SEARCH VISIBILITY, NUMBER OF VIEWS, CALLS, DIRECTION REQUESTS, LEADS, CUSTOMERS, OR REVENUE. SHOP ON MAPS LLC DOES NOT WARRANT, PROMISE, OR GUARANTEE LISTING COMPLETENESS, "AI-READY" STATUS, GOOGLE AI OVERVIEWS, CHATGPT OR OTHER AI-ANSWER INCLUSION, OR CITATIONS. PAST RESULTS FOR ANY SHOP ARE NOT A PREDICTION OF RESULTS FOR CLIENT. CLIENT REMAINS SOLELY RESPONSIBLE FOR ITS HVAC WORK, CUSTOMER SERVICE, PRICING, AND COMPLIANCE WITH LAW.

SHOP ON MAPS LLC DOES NOT WARRANT THAT GOOGLE BUSINESS PROFILE, GOOGLE MAPS, STRIPE, EMAIL, OR ANY THIRD-PARTY SYSTEM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM SUSPENSION OR ENFORCEMENT ACTION.

14. RELEASE

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIENT HEREBY IRREVOCABLY RELEASES, WAIVES, AND FOREVER DISCHARGES SHOP ON MAPS LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS FROM ANY AND ALL CLAIMS, DAMAGES, LOSSES, AND LIABILITIES ARISING OUT OF OR RELATING TO: (A) GOOGLE RANKING, MAP PACK POSITION, SEARCH VISIBILITY, OR CHANGES IN THE SAME; (B) LOST LEADS, LOST CALLS, LOST CUSTOMERS, OR LOST REVENUE; (C) SUSPENSION, RESTRICTION, OR OTHER ENFORCEMENT ACTION AGAINST CLIENT'S GOOGLE BUSINESS PROFILE OR RELATED LISTING; (D) ACTS, OMISSIONS, POLICIES, OUTAGES, OR DECISIONS OF GOOGLE, STRIPE, OR ANY OTHER THIRD-PARTY PLATFORM; AND (E) CLAIMS BY CLIENT'S HVAC CUSTOMERS ABOUT CLIENT'S WORK, SERVICE, PRICING, OR CONDUCT.

THIS RELEASE APPLIES WHETHER THE CLAIM IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER THEORY, EXCEPT THAT THIS RELEASE DOES NOT APPLY TO DAMAGES CAUSED BY THE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OF SHOP ON MAPS LLC.

15. HOLD HARMLESS AND INDEMNITY

CLIENT SHALL DEFEND, INDEMNIFY, AND HOLD HARMLESS SHOP ON MAPS LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS (COLLECTIVELY, THE "INDEMNIFIED PARTIES") FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, ACTIONS, LOSSES, DAMAGES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING OUT OF OR RELATING TO: (A) CLIENT'S BUSINESS, HVAC WORK, CUSTOMERS, OFFERS, HOURS, CLAIMS, PHOTOS, OR OTHER MATERIALS; (B) CLIENT'S BREACH OF THESE TERMS OR OF LAW; (C) CONTENT WE PUBLISH AT CLIENT'S DIRECTION OR FROM CLIENT-PROVIDED MATERIALS; (D) CLIENT'S FAILURE TO GRANT, MAINTAIN, OR LAWFULLY AUTHORIZE MANAGER ACCESS; (E) CHARGEBACKS OR PAYMENT DISPUTES INITIATED IN BREACH OF THESE TERMS; AND (F) ANY THIRD-PARTY CLAIM CONNECTED WITH THE SERVICES OR THE LISTING.

THIS INDEMNITY APPLIES TO CLAIMS CAUSED IN WHOLE OR IN PART BY THE ORDINARY NEGLIGENCE OF SHOP ON MAPS LLC OR ANY INDEMNIFIED PARTY. THIS INDEMNITY DOES NOT APPLY TO THE EXTENT A CLAIM IS CAUSED BY THE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OF SHOP ON MAPS LLC.

CLIENT'S DUTY TO DEFEND AND INDEMNIFY IS A SEPARATE OBLIGATION AND SURVIVES CANCELLATION, TERMINATION, AND COMPLETION OF THE SERVICES.

16. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF SHOP ON MAPS LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS TO CLIENT FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES ACTUALLY PAID BY THAT SHOP TO SHOP ON MAPS LLC IN THE THREE (3) MONTHS IMMEDIATELY BEFORE THE CLAIM.

IN NO EVENT SHALL SHOP ON MAPS LLC OR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST CALLS, LOST LEADS, LOST RANKING, LOST GOODWILL, COST OF SUBSTITUTE SERVICES, OR DAMAGES ARISING FROM GOOGLE SUSPENSION OR OTHER THIRD-PARTY PLATFORM ACTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

THESE LIMITATIONS APPLY TO CLAIMS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER THEORY, EXCEPT TO THE EXTENT THEY MAY NOT BE LIMITED UNDER APPLICABLE LAW FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

17. Governing Law; Venue; Jury Waiver; Class-Action Waiver

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.

Exclusive venue. Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida. Client consents to personal jurisdiction in those courts and waives any objection based on venue or forum non conveniens.

JURY WAIVER. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIENT AND SHOP ON MAPS LLC EACH WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

CLASS-ACTION WAIVER. CLIENT MAY BRING CLAIMS AGAINST SHOP ON MAPS LLC ONLY IN CLIENT'S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE COURT MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

18. Electronic Acceptance

Paying for the Services, creating a subscription, clicking a checkbox or button that indicates agreement, or otherwise accepting these Terms constitutes Client's electronic signature and has the same legal effect as a handwritten signature under the federal Electronic Signatures in Global and National Commerce Act and the Florida Uniform Electronic Transaction Act.

19. General

Severability. If any provision of these Terms is held unenforceable, the remaining provisions continue in full force, and the unenforceable provision will be modified to the minimum extent needed to make it enforceable.

Entire agreement. These Terms, together with the order or payment page through which Client subscribes, are the entire agreement between Client and Shop on Maps LLC concerning the Services and supersede all prior discussions and writings on that subject.

Waiver. A failure to enforce a provision is not a waiver of that provision or of any other provision. A waiver must be in writing and signed by Shop on Maps LLC to be effective.

Assignment. Client may not assign or transfer these Terms without our prior written consent. We may assign these Terms without Client's consent, including in connection with a sale of the business or its assets. These Terms bind and benefit permitted successors and assigns.

Notices. We may give notice by posting on https://shoponmaps.com or by email to the address Client provided. Client may give notice to Shop on Maps LLC at hello@shoponmaps.com or 1081 Egret Circle N, Jupiter, FL 33458.
